EASYHEALTH TERMS OF SERVICE
Effective Date: October 15, 2025
1. ACCEPTANCE OF TERMS
EasyHealth, Inc. and its affiliated entities and clients, including EasyHealth Medical Solutions P.C. and Medigence Health, P.C. and their related professional corporations (collectively "EasyHealth," "we," "our," or "us") provide healthcare services, including clinical services delivered by healthcare providers (“Providers”) with the EasyHealth professional medical corporations (collectively, the "Services").
By accessing or using our websites at www.joinEasyHealth.com, www.easyhealth.com and www.medigencehealth.com (the “Websites”), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Services on behalf of a health plan or other organization, you represent that you have authority to bind that entity to these Terms.
IMPORTANT ARBITRATION NOTICE: PLEASE READ SECTION 15 CAREFULLY. IT CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS. BY USING OUR SERVICES, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION RATHER THAN COURT PROCEEDINGS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS.
2. MODIFICATION OF TERMS
We may revise these Terms at any time in our sole discretion. Changes will be effective when posted to the Websites. Your continued use following any posted revisions signifies your acceptance of the revised Terms.
3. WEBSITE USE AND RESTRICTIONS
3.1 Limited License
You may view and use the Websites solely for personal, non-commercial purposes in connection with obtaining our Services. You may not copy, display, publish, transmit, or exploit Websites content without our prior written consent.
3.2 Prohibited Uses
You may not:
- Engage in data scraping, harvesting, or unauthorized access attempts
- Use the Websites to interrupt, damage, or impair our systems
- Violate intellectual property rights or applicable laws
- Insert unauthorized advertising or promotional content
- Circumvent, reverse engineer, or interfere with the Websites
4. MEDICAL DISCLAIMER
IMPORTANT MEDICAL DISCLAIMERS:
The Websites is intended for informational purposes only and should not be construed as providing specific medical advice. Nothing on the Websites is intended to take the place of proper medical advice, diagnosis or treatment. You should contact your Provider or other healthcare professionals directly for advice about any particular conditions or concerns.
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY.
The professional medical corporations affiliated with EasyHealth, including EasyHealth Medical Solutions P.C. and Medigence Health, P.C., employ or contract the Providers, who exercise independent medical judgment in delivering clinical services to patients. Individual Providers are not employees or agents of EasyHealth, Inc., and EasyHealth, Inc. does not practice medicine or provide medical services directly. The provider-patient relationship exists solely between you and the individual Providers through the applicable professional medical corporation, and not with EasyHealth, Inc. EasyHealth, Inc. serves solely as a technology platform provider and does not direct, control, or interfere with the clinical decisions or medical judgment of the Providers.
5. BILLING AND PAYMENT
EasyHealth bills contracted health plans and payors directly. Patients are not billed directly for covered services. All charges are processed through your health plan according to applicable coverage terms.
6. ELECTRONIC COMMUNICATIONS
Through your use of the Websites and/pr Services, you consent to receive emails, texts, or other communications from us pertaining to your care and health. By utilizing our Websites, you acknowledge that email/text is not a secure method of communication and agree to the associated risks.
7. USER ACCOUNTS AND INFORMATION
7.1 Account Creation
To obtain Services, you may be required to create a user account. Our Services are designed for those who are at least 18 years of age although we have offerings available to those under 18 years of age. If you are under 18, please contact your parent or legal guardian for assistance creating an account.
The Websites are not directed to or intended for children under the age of 13 and we do not knowingly collect personal information from such children without parental consent. If we find out that we have collected personal information from an individual under the age of 13 without parental consent, we will take steps to remove such information from our systems. If you are under the age of 13, please consult a parent or legal guardian for help.
7.2 Account Responsibilities
You are responsible for providing accurate, complete, and up-to-date account information. You must maintain the confidentiality of your login credentials and notify us immediately of any suspected unauthorized access.
You shall not share your login credentials with any third parties. EasyHealth reserves the right to suspend or terminate accounts that pose security vulnerabilities in its sole discretion. EASYHEALTH SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO MAINTAIN ACCOUNT SECURITY OR COMPLY WITH THESE REQUIREMENTS.
8. INTELLECTUAL PROPERTY
We own or have licensed the rights to the Websites, its content, design, and compilation. The trademarks, logos, and service marks displayed on the Websites are our registered and unregistered trademarks and may not be used without our written permission.
8.1 DMCA Policy
EasyHealth respects intellectual property rights and complies with the Digital Millennium Copyright Act.
To report copyright infringement, provide us with: (a) your signature; (b) your contact information; (c) identification of the copyrighted work; (d) identification of the infringing material’s location; (e) a good faith statement that use is unauthorized; and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act for the copyright owner. Counter-notifications may be submitted if you believe material was removed by mistake. EasyHealth terminates repeat infringers’ access.
8.2 Third-Party Content
The Services may incorporate third-party licensed content subject to applicable license terms.
9. PRIVACY
Your privacy is important to us. Please review our Privacy Policy, which is incorporated by reference into these Terms .If there is a conflict between these Terms and the Privacy Policy, the Privacy Policy shall have precedence with respect to privacy matters.
10. DISCLAIMERS
MATERIALS, SERVICES, AND INFORMATION ARE PROVIDED "AS IS" BY EASYHEALTH FOR INFORMATIONAL PURPOSES ONLY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYHEALTH MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
EASYHEALTH DOES NOT GUARANTEE THE ACCURACY, QUALITY, OR COMPLETENESS OF ANY INFORMATION AND IS NOT RESPONSIBLE FOR ERRORS OR OMISSIONS. YOU ACCESS WEBSITE CONTENT AT YOUR OWN DISCRETION AND RISK.
11. LIMITATION OF LIABILITY
IN NO EVENT SHALL EASYHEALTH BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING FROM YOUR USE OF THE WEBSITE OR SERVICES.
12. INDEMNIFICATION
You agree to defend, indemnify and hold EasyHealth harmless from any loss, liability, claim, or expenses, including reasonable attorneys' fees, arising from your use of the Websites or Services in violation of these Terms.
13. THIRD-PARTY LINKS
We may include links to third-party websites for your convenience. Such sites are not under our control, and we cannot endorse or make representations about their content. We are not responsible for third-party privacy practices or legal compliance.
14. TERMINATION
We may terminate, suspend, or restrict your access to the Websites if we believe you are in breach of these Terms or applicable law, or for any other reason without notice or liability.
In addition, you may terminate your account at any time by contacting EasyHealth at legal@joineasyhealth.com or through your account settings. Upon any termination of these Terms: (a) your access to the Services will immediately cease and (b) data retention and deletion will be governed by our Privacy Policy and applicable law, including HIPAA where applicable. The following provisions shall survive any termination or expiration of these Terms: Sections 4 (Medical Disclaimer), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Dispute Resolution and Arbitration), 16 (Miscellaneous), and 17 (Contact Information), and any other provisions that by their nature should survive termination. You shall remain liable for all obligations incurred prior to the effective date of termination.
15. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
15.1 Binding Arbitration
Disputes shall be resolved through binding arbitration under the American Arbitration Association Commercial Rules. You and EasyHealth agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be settled by binding arbitration, rather than in court.
15.2 Class Action Waiver
YOU AND EASYHEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
15.3 Exceptions
This arbitration provision does not apply to:
- Claims seeking injunctive relief
- Claims related to intellectual property rights
- Small claims court matters (under applicable jurisdictional limits)
15.4 Location and Rules
Arbitration will be conducted in Delaware under Delaware law. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
15.5 30-Day Right to Opt Out
You have the right to opt out of this arbitration provision by sending written notice to EasyHealth within 30 days of first accepting these Terms. 16. MISCELLANEOUS
16.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect. The invalid or unenforceable provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the economic effect thereof.
16.3 Force Majeure
EasyHealth shall not be liable for any delay or failure to perform its obligations under these Terms due to any cause beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, wars, terrorism, strikes, labor disputes, communication failures, utility outages, or other unforeseeable circumstances (each, a “Force Majeure Event”). In the event of a Force Majeure Event, EasyHealth will use commercially reasonable efforts to maintain the Services and minimize service disruptions, but cannot guarantee uninterrupted access to the Services. EasyHealth’s performance obligations shall be suspended during the continuation of any Force Majeure Event and EasyHealth shall be entitled to a reasonable extension of time for performance equal to the duration of such Force Majeure Event.
16.4 Assignment
You may not assign, transfer, delegate, or otherwise dispose of these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without EasyHealth’s prior written consent, and any attempted assignment without such consent shall be null and void. EasyHealth may freely assign these Terms and any of its rights and obligations hereunder, in whole or in part, in connection with any merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, or to any affiliate or subsidiary of EasyHealth. These Terms shall be binding upon and inure to the benefit of the parties’ respective successors and permitted assigns.
16.5 Electronic Signatures and Consent
By using the Services and accepting these Terms, you consent to conduct transactions with EasyHealth electronically and to receive electronically all notices, disclosures, agreements, documents, or other communications that EasyHealth provides in connection with these Terms or the Services. You agree that electronic signatures, contracts, orders, and other records, and electronic delivery of notices, policies, and records of transactions initiated or completed through the Services will have the same legal effect as if they were physical documents signed in ink. You may withdraw your consent to receive electronic communications by contacting us at legal@joineasyhealth.com, but such withdrawal may result in termination of your access to the Services. You should retain copies of these Terms and all electronic communications for your records.
16.6 Waiver
EasyHealth’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and EasyHealth’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of EasyHealth to be effective.
16.7 Publicity and Marketing
EasyHealth may identify you (including health plans and organizational customers) as a customer of EasyHealth in marketing materials, case studies, presentations, and other promotional materials unless you provide written notice to legal@joineasyhealth.com declining such use. Such identification may include your name, logo, and general description of your use of the Services, but will not include confidential or proprietary information.
16.8 Entire Agreement
These Terms, together with the Privacy Policy and any other documents expressly incorporated herein by reference, constitute the entire agreement between you and EasyHealth regarding the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, regarding such subject matter. No amendment, modification, or waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
